Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you and CoBalance LLC (“CoBalance,” “we,” “us,” “our”). By using the CoBalance mobile app and related services (the “Service”), you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

Age requirement: CoBalance is for adults only. You must be at least 18 years old to use the Service, including when you use the app as a Guest. See Section 2 (Eligibility) for the full eligibility rules.

This is not legal advice. Consider having counsel review these Terms for your jurisdiction and business structure.

1. The Service

CoBalance provides tools to track shared child-related expenses and court-ordered support, attach receipts, maintain an audit trail, generate reports/PDF exports, send notifications, and (if enabled) facilitate ACH payments through a third-party payment processor. The Service is designed to help with record-keeping and coordination between co-parents, including a separation between “Support” (fixed obligations such as child support/alimony) and shared variable expenses.

Firewall Compliance: The Service enforces a strict separation between fixed “Support” obligations and variable shared expenses. You understand that CoBalance will not automatically apply child support payments toward outstanding variable expenses or vice versa.

2. Eligibility
  • Age (18+ only): The Service is not intended for, and may not be used by, anyone under 18 years of age. By accessing or using the Service (including as a Guest), you represent and warrant that you are at least 18. If the minimum age to enter a binding contract online in your jurisdiction is higher than 18, you represent that you meet that age. We may refuse service, close accounts, or limit access if we believe a user does not meet these requirements.
  • Authority: You represent that you have the legal authority to enter into these Terms.
  • Guest Use: These Terms apply to your use of the Service whether you are using the app as a “Guest” (without creating a formal account) or have created a formal account. Data entered as a Guest is stored locally or anonymously and may be lost if not synced to a formal account.
3. Accounts, security, and responsibilities
  • Account creation: You may create an account via email/password or supported third-party sign-in options (e.g., Apple/Google/Facebook).
  • Account security: You are responsible for safeguarding your device, passwords, and access to your account, and for all activity that occurs under your account.
  • Accurate information: You agree to provide accurate information and keep it updated.
  • Co-parent sharing: If you connect with a co-parent, you understand that records entered into a shared household/unit will be visible to the co-parent in that unit.
4. Important disclaimers (no legal/financial advice)

CoBalance is not a law firm, accounting firm, bank, or money transmitter. We do not provide legal advice, tax advice, or financial advice. The Service provides organizational tools and reporting features only. You are responsible for confirming that your records and exports meet your needs for court, counsel, or any official use.

5. User content (receipts, descriptions, messages)

The Service may allow you to upload or submit content such as receipt images, expense descriptions, child-related information you choose to enter, and dispute messages (“User Content”).

  • Your rights: You retain ownership of your User Content as between you and CoBalance.
  • License to operate the Service: You grant CoBalance a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, and display User Content solely as necessary to provide, maintain, and improve the Service (e.g., syncing with your co-parent, displaying receipts, generating PDFs, and creating audit-trail records).
  • Permissions: You represent you have the rights to upload User Content and that doing so does not violate law or the rights of others.
  • Ledger Integrity: Because CoBalance is designed to provide an immutable audit trail for legal and personal record-keeping, you acknowledge that User Content shared within a co-parenting unit (such as expenses, receipts, and comments) becomes part of a shared record. To protect the integrity of the ledger for both parents, User Content shared with a co-parent may remain accessible to that co-parent even if you delete your account or individual entries, as described in our Privacy Policy.
6. Prohibited conduct

You agree not to:

  • Use the Service for unlawful, harmful, harassing, threatening, or fraudulent activity.
  • Upload malware or attempt to disrupt, overload, or compromise the Service.
  • Access or attempt to access data you are not authorized to access.
  • Reverse engineer, decompile, or attempt to extract source code from the Service, except where prohibited by law.
  • Circumvent security or access controls.
  • Use the Service to store highly sensitive information you do not need for expense/support record-keeping (e.g., full bank account numbers, Social Security numbers), except where required by the payment processor in their own flow.
7. Payments availability

Payments availability: Payment features may be limited (for example, to US bank accounts / ACH) and may require identity and bank verification by the payment processor.

8. Payments and Agent Appointment

If payment features are enabled, CoBalance uses Stripe, Inc. and its affiliates ("Stripe") to facilitate ACH bank-to-bank payments.

  • Stripe Services Agreement: Payment processing services for users on CoBalance are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the “Stripe Services Agreement”). By agreeing to these Terms or continuing to operate as a user on CoBalance, you agree to be bound by the Stripe Services Agreement, as the same may be modified by Stripe from time to time. As a condition of CoBalance enabling payment processing services through Stripe, you agree to provide CoBalance accurate and complete information about you and your business, and you authorize CoBalance to share it and transaction information related to your use of the payment processing services provided by Stripe.
  • Limited Payment Collection Agent: If you receive funds through the Service (a “Receiver”), you hereby appoint CoBalance as your limited payment collection agent solely for the purpose of accepting funds from the paying user (a “Sender”) via the payment processor.
    • You agree that payment made by a Sender to CoBalance (or to the payment processor acting on CoBalance’s behalf) shall be considered the same as a payment made directly to you.
    • The Sender’s payment obligation to you is extinguished upon receipt of funds by CoBalance or the payment processor, regardless of whether those funds are settled to you.
    • In the event that CoBalance or the payment processor fails to remit such funds to you, you will have recourse only against CoBalance or the payment processor and not against the Sender.
  • ACH Timing & Risk: You understand that ACH payments are asynchronous and may take multiple business days (typically 3-5 days) to settle. Payments may fail, be reversed, or be returned for insufficient funds. CoBalance is not responsible for overdraft fees or other costs assessed by your bank.
  • Disputes and Reversals: If a payment is reversed or fails, CoBalance will reflect the updated status in your Ledger. You remain responsible for any fees charged by your financial institution or the payment processor.
9. Subscriptions, premium features, and billing

CoBalance may offer free and paid subscription tiers. Subscriptions are per parent (each parent manages their own subscription). Some features (such as in-app payments and formal dispute workflows) may require both parents in a household/unit to have an active premium subscription to function.

  • Premium access for shared features: CoBalance offers a Premium tier that unlocks advanced financial tools. Certain interactive features—specifically in-app payments (ACH) and formal dispute resolution—require both parents in a shared household unit to maintain an active Premium subscription and to complete any required payment-processor setup. If one parent’s subscription lapses or required setup is incomplete, these features will be paused until both accounts are in good standing.
  • Pricing: Current pricing is described in the app and on our website in the pricing comparison table.
  • Auto-renewal: Unless canceled, subscriptions may automatically renew at the then-current rate (as disclosed at purchase).
  • Cancellation: You can cancel as described in the app and/or through the platform where you purchased (e.g., our website billing portal or App Store / Google Play subscription management, if applicable).
  • Refunds:
    • App Store Subscriptions: If you subscribed via an app store (Apple App Store or Google Play), refunds are subject to that store’s policies and must be requested directly through them. CoBalance cannot process refunds for app store purchases.
    • Direct Subscriptions: For subscriptions purchased directly through CoBalance (e.g., via our website), fees are non-refundable except where required by law.
  • Feature limits: Free tiers may have usage limits (e.g., limits on number of expenses per month, historical access, or exports). These limits are disclosed in-product and may change over time.
10. Third-party services

The Service may integrate with third parties (such as authentication providers, email delivery providers, push notification services, storage providers, and payment processors). CoBalance is not responsible for third-party services, and your use of them may be governed by their terms and policies.

11. Availability, changes, and termination
  • Changes: We may modify, suspend, or discontinue parts of the Service at any time, including adding or removing features.
  • Termination by you: You may stop using the Service at any time and may request deletion as described in our Privacy Policy.
  • Termination by us: We may suspend or terminate access if you violate these Terms, pose risk to the Service or users, or as required by law.
12. Disclaimers

No Guarantee of Admissibility: While CoBalance provides tools to generate documentation for legal or official use (such as PDF exports), we make no guarantee that these reports will be admissible in court or accepted by any specific judge, mediator, or government agency. The accuracy and legal sufficiency of any report depend entirely on the data you and your co-parent provide.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, COBALANCE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT REPORTS/PDFS WILL MEET ANY PARTICULAR LEGAL STANDARD.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COBALANCE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

IN ANY EVENT, COBALANCE’S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO COBALANCE FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) $100.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

14. Indemnification

You agree to defend, indemnify, and hold harmless CoBalance and its affiliates, officers, directors, employees, and agents from and against claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your User Content, or your violation of these Terms.

15. Governing law and venue

These Terms are governed by the laws of the State of Georgia, without regard to conflict of law principles. Any dispute arising out of these Terms or the Service will be brought in the state or federal courts located in Fulton County, Georgia, and you consent to their jurisdiction and venue.

16. App Store terms (Apple)

If you download the app from the Apple App Store, you also agree to comply with Apple’s applicable terms. Apple is not responsible for the Service and does not provide support for the Service except as required by law. In the event of a conflict between Apple’s terms and these Terms, these Terms govern as between you and CoBalance.

You acknowledge that CoBalance, not Apple, is responsible for addressing any claims relating to the App or your possession and/or use of the App, including: (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection or similar legislation.

17. Google Play

If you download the app from Google Play, you also agree to comply with Google’s applicable terms and policies (including any age-related or regional requirements that apply to you). Google is not responsible for the Service. In the event of a conflict between Google’s terms and these Terms, these Terms govern as between you and CoBalance.
